Terms & Conditions

1. Definitions

  "Platform" means the Rushrak SaaS delivery management system, including APIs, web dashboard, and mobile apps.
• •
  "Customer" means the business entity or individual who creates an account to use the Platform.
• •
  "End Users" means managers, delivery partners, and other staff added by the Customer to use the Platform.
• •
  "Order Credits" means prepaid units that are consumed when orders are processed through the Platform.
• •
  "Subscription Plan" means the paid plan selected by the Customer for access to Platform features.

2. Account Registration & Eligibility

• •
  You must be at least 18 years of age and have the legal capacity to enter into a binding agreement.
• •
  You agree to provide accurate, complete, and current registration information and to maintain its accuracy.
• •
  You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• •
  One phone number may only be associated with one account. Duplicate accounts may be terminated without notice.

3. Service Description

The Platform provides delivery logistics management tools including, but not limited to:

  Order management with real-time tracking and automated broadcasting to delivery partners.
• •
  Staff management for managers and delivery partners across multiple stores.
• •
  Financial tools including float tracking, incentive management, and analytics dashboards.
• •
  Communication features including in-app chat and notification systems.

The Company reserves the right to modify, suspend, or discontinue any feature at any time without prior notice.

4. Subscription, Credits & Payments

• •
  New accounts receive 100 trial credits with a 14-day trial period. Trial credits expire at the end of the trial period and are non-transferable.
• •
  After the trial, you must subscribe to a paid plan and purchase order credits to continue using the Platform.
• •
  All payments are non-refundable unless expressly stated otherwise. Unused credits do not carry over after account termination.
• •
  The Company reserves the right to change pricing, plans, and credit rates at any time. Changes take effect upon renewal of your subscription.
• •
  Subscription fees are billed in advance. Failure to pay may result in suspension or termination of your account.
• •
  Taxes (including GST) are the responsibility of the Customer and will be charged as applicable under Indian law.

5. Acceptable Use Policy

You agree NOT to:

  Use the Platform for any unlawful, fraudulent, or unauthorized purpose.
• •
  Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Platform.
• •
  Interfere with or disrupt the Platform's infrastructure, including servers, networks, or APIs.
• •
  Share, resell, sublicense, or provide access to the Platform to any third party without written consent.
• •
  Upload or transmit any malicious code, viruses, or harmful content through the Platform.
• •
  Scrape, crawl, or use automated tools to extract data from the Platform without express authorization.

6. Intellectual Property Rights

  The Platform, including all software, algorithms, designs, trademarks, logos, and content, is the exclusive intellectual property of Rakhangi Technologies Pvt Ltd. No rights are transferred to you except the limited license to use the Platform as described herein.
• •
  You retain ownership of your business data uploaded to the Platform. However, you grant the Company a non-exclusive, worldwide license to use anonymized and aggregated data for service improvement and analytics.
• •
  Any feedback, suggestions, or ideas you provide about the Platform become the property of the Company and may be used without compensation or attribution.

7. Data & Privacy

  Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
• •
  You are responsible for ensuring that your collection and use of end-user and customer data through the Platform complies with all applicable data protection laws.
• •
  The Company may access your account data for troubleshooting, support, legal compliance, or to enforce these Terms.

8. Limitation of Liability

  THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  In no event shall Rakhangi Technologies Pvt Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Platform.
• •
  The Company's total aggregate liability under these Terms shall not exceed the amount paid by you to the Company in the three (3) months preceding the event giving rise to the claim.
• •
  The Company is not responsible for any losses arising from delivery failures, delays, damaged goods, or disputes between you and your customers or delivery partners.

9. Indemnification

You agree to indemnify, defend, and hold harmless Rakhangi Technologies Pvt Ltd, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to:

  Your breach of these Terms or any applicable law.
• •
  Your use or misuse of the Platform.
• •
  Any disputes between you and your customers, delivery partners, or other third parties.
• •
  Any claim that your content or data infringes a third party's intellectual property or other rights.

10. Termination & Suspension

  The Company may suspend or terminate your account at any time, with or without cause, and with or without notice, including for violation of these Terms.
• •
  You may terminate your account by contacting support. Termination does not entitle you to a refund of any prepaid fees or unused credits.
• •
  Upon termination, your right to use the Platform ceases immediately. The Company may delete your data after a 30-day retention period.
• •
  Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Service Availability & Uptime

  The Company strives for high availability but does not guarantee uninterrupted service. Scheduled and unscheduled maintenance may cause temporary downtime.
• •
  The Company shall not be liable for any losses resulting from service outages, data loss, or delays caused by technical issues, force majeure, or circumstances beyond our control.

12. Governing Law & Dispute Resolution

  These Terms are governed by and construed in accordance with the laws of India.
• •
  Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
• •
  Before filing any legal proceedings, both parties agree to attempt resolution through good-faith negotiations for a period of 30 days.

13. Modifications to Terms

The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

14. General Provisions

  Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rakhangi Technologies Pvt Ltd regarding the Platform.
• •
  Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• •
  Waiver: The Company's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• •
  Assignment: You may not assign or transfer your rights under these Terms. The Company may assign its rights without restriction.
• •
  Force Majeure: The Company shall not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, pandemics, government actions, or internet outages.
